An owned Regional Center is a USCIS-designated entity that the EB-5 operator legally owns and controls. A Licensed Regional Center is a USCIS-designated entity not owned by the EB-5 sponsor but utilized pursuant to a use agreement. The sponsor pays licensing fees, and the RC owner remains responsible for all USCIS compliance filings and oversight. This structure allows the sponsor to utilize Regional Center coverage in geographic areas where it does not maintain an owned Regional Center but intends to sponsor EB-5 Projects.

USCIS approval letters are formal designation notices issued by U.S. Citizenship and Immigration Services confirming that an entity is authorized to participate in the EB-5 Program as a Regional Center. Issued in connection with approval of Form I-956 under the Reform and Integrity Act of 2022, the designation establishes the Regional Center's approved geographic scope and assigns a unique Regional Center identification number. This identification number is required for all subsequent Form I-956F Project filings submitted under the Regional Center's sponsorship.

If a Regional Center project fails to create the required number of jobs, investors may face serious immigration consequences. USCIS may deny the investor's Form I-829 petition, which is the filing used to remove the conditions on permanent residence. Because the EB-5 program requires that at least 10 qualifying U.S. jobs be created per investor, a job-creation shortfall can result in the denial of the I-829 and the loss of conditional permanent resident status. Beyond immigration risk, investors may also face financial loss if an EB-5 Project underperforms or fails, as EB-5 investments must remain at risk and do not carry guaranteed returns.
EB-5 Regional Center investments are not risk-free. The capital must remain invested or "at-risk" until the investor has completed their Conditional Residency, if they fail to do so their Green Card will not become permanent.
